End User License Agreement (EULA)

This EULA is a legal agreement between you and Cloudkrypton LLC, the developer of AI Trade Collector (Cloudkrypton.com) ("Licensor") for the AI Trade Collector desktop software (the "Software"). By installing or using the Software, you agree to be bound by this EULA. If you don't agree, don't install or use the Software.

1. License grant

Subject to your compliance with this EULA and payment of any applicable license fee, Licensor grants you a limited, non-exclusive, non-transferable license to install and use the Software on devices you own or control, for your own card cataloging use, under one of the following tiers:

Your license is tied to your AI Trade Collector account and is verified periodically against our servers using a license key or device session token — see License verification below.

2. What stays local

Your card catalog — including full-resolution images, condition notes, and quantities — is maintained locally on your device and is not collected or retained by us. To provide identification and market-comparison features, the Software may process card images and related data you submit, including through automated visual matching and reverse image search techniques, and may send data to our servers as needed to verify your license and to provide these features — see our Privacy Policy for more.

3. License verification

Some features (AI-based comps/pricing lookups in particular) require periodic verification that your license is active. The Software checks this against our license server; if verification fails (e.g. a revoked or expired license, or no license for a feature you're trying to use), those specific features may be disabled until you resolve it — the Software's local cataloging features are designed to keep working offline even if verification is temporarily unavailable, consistent with our "works offline" design. We don't provide comps/pricing access to unlicensed users.

The Software may check for and offer updates from our servers (an in-app self-updater). Updates may add, change, or remove features. This EULA applies to all updates unless a new version comes with its own terms.

6. Ownership

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights to our trademarks or branding.

7. Term & termination

This EULA is effective until terminated. It terminates automatically if you fail to comply with any term. Upon termination, you must stop using the Software and delete all copies. Sections 4, 6, 8, and 9 survive termination.

8. Disclaimer of warranty

The Software is provided "as is," without warranty of any kind. We don't warrant that card identification, condition/grading estimates, or pricing data will be accurate or error-free. Comps and pricing reflect third-party market data and may be delayed, incomplete, or wrong — don't rely on them as the sole basis for a financial decision.

9. Limitation of liability

To the maximum extent permitted by law, Licensor's total liability arising from this EULA or your use of the Software will not exceed the amount you paid for your license (or $0 if you're on the free tier). Licensor is not liable for indirect, incidental, or consequential damages.

You agree to comply with all applicable export and re-export control laws and regulations in your use of the Software.

11. Governing law

This EULA is governed by the laws of the United States, without regard to conflict-of-law principles.
